TERMS&CONDITIONS

By engaging the services of Proficient Business Services, you ("the Client") agree to the following terms and conditions. These terms outline the foundation of our working relationship, ensuring transparency, efficiency, and mutual respect.

1. Scope of Services

Proficient Business Services provides online business management and virtual assistance in administration, project and compliance support, and online business management as outlined in the selected package or service.  Services will be delivered professionally and within agreed timelines. Any additional services beyond the package or service must be requested in writing and may incur additional charges at an hourly rate of $70.00.

 

2. Payment Terms

  • A deposit equivalent to one week's service fee (as per the first invoice) is required before commencement of work.

  • Services will be invoiced weekly.

  • Invoice payments are due within 7 days.

  • Alternative payment plans may be arranged with prior written agreement.

  • Payments are non-refundable once work has commenced.

  • Late payments exceeding 5 business days past the due date may incur a 5% late fee on the outstanding balance and may result in temporary suspension of services.

3. Fee Adjustments

Proficient Business Services reserves the right to adjust service fees annually in accordance with movements in the Consumer Price Index (CPI) effective from 1 July each year.  A minimum of 6 weeks’ written notice will be provided prior to any such adjustment taking effect.

4. Client Responsibilities

To ensure efficient service delivery, the Client agrees to:

  • Provide all necessary information, content, and access in a timely manner.

  • Respond to communications within a reasonable timeframe (typically within 48 hours).

  • Review and approve work within agreed deadlines to prevent project delays.

  • Maintain professional and respectful communication.

5. Revisions & Edits

  • Revisions are included as specified in the selected package or service.  Additional revisions will be charged at $70.00 per hour.

  • Once the Client provides final approval for content, designs, or materials, Proficient Business Services is not liable for any errors, omissions, or inaccuracies.  Post-approval revisions will be billed at the standard hourly rate ($70.00).

6. Service Termination

  • Clients may terminate services by providing a minimum 2 weeks written notice.

  • Proficient Business Services may terminate services with 2 weeks’ written notice if circumstances arise that impact the ability to effectively support the client, such as misalignment of expectations, communication breakdown, or inappropriate conduct.

  • If termination occurs midway (50%) through a package or service, the deposit is non-refundable.

  • If termination occurs after more than 50% of the work is completed, the full invoice amount is payable.

7. Confidentiality & Data Protection

  • Proficient Business Services will maintain strict confidentiality regarding all business information shared by the Client.

  • Client data will not be shared, sold, or disclosed to third parties without written consent.

8. Intellectual Property Rights

  • All materials, graphics, and content created by Proficient Business Services remain the intellectual property of the business until full payment is received.

  • Upon full payment, the Client is granted a non-exclusive, royalty-free license to use all deliverables for their business.

  • Proficient Business Services retains the right to showcase work in its portfolio, unless the Client requests confidentiality in writing.

9. Limitation of Liability

Proficient Business Services is not liable for:

  • Any indirect, incidental, or consequential damages arising from service use.

  • Losses due to third-party failures e.g. website hosting, social media platforms.

  • Delays or issues caused by Client inaction, lack of communication, or failure to provide necessary materials.

10. Force Majeure

Neither party is responsible for delays or failures in performance due to unforeseeable events beyond reasonable control, such as natural disasters, power outages, or internet failures.

11. Governing Law

These terms and conditions are governed by the laws of New South Wales, Australia.  Any disputes shall first be addressed through mediation before legal action is pursued.
